Terms of Service
These terms govern your access to and use of the Chatbox AI platform at chatboxai.dev. Please read them carefully before connecting a WhatsApp Business number or sending messages through the Service.

1. Agreement to Terms
These Terms of Service (the "Terms") form a binding agreement between you (whether acting for yourself or on behalf of a business entity) and Chatbox AI ("Chatbox AI", "we", "us", or "our") concerning your use of our WhatsApp messaging platform, website, dashboard, and APIs.
By creating an account, connecting a WhatsApp Business number, sending a campaign, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, you must not use the Service.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.
2. Definitions
- Service means the Chatbox AI software-as-a-service platform, including the web dashboard, broadcast campaign tools, message template management, shared team inbox, contact lists, automations, analytics, integrations, and any related APIs, documentation, and support we provide.
- Customer (or "you") means the business or individual that registers an account, connects a WhatsApp Business account, and is responsible for paying subscription fees.
- End User means any person the Customer communicates with through the Service — typically the Customer's own customers, leads, subscribers, or contacts whose phone numbers the Customer uploads or receives messages from.
- Content means all data the Customer submits to, stores in, or transmits through the Service, including contact records, phone numbers, message text, media attachments, message templates, automation logic, and any WhatsApp Business account credentials or access tokens the Customer connects.
- WhatsApp Platform means the WhatsApp Business Cloud API and related services operated by Meta Platforms, Inc. and its affiliates.
3. Eligibility and Account Registration
You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. The Service is intended for business use only and is not offered to consumers for personal, family, or household messaging.
- You must provide accurate, current, and complete information during registration — including a valid business name, working email address, and, where required for WhatsApp Business verification, legitimate business documentation.
- You are responsible for keeping your credentials confidential. This includes your password, any API keys we issue, and the WhatsApp Business access tokens you connect to the Service. Do not share login credentials between people — invite team members as separate users instead.
- You are responsible for all activity that occurs under your account, including messages sent by your team members, your automations, and any integration you authorise.
- You must notify us immediately at aryaditya760@gmail.com if you suspect unauthorised access to your account or a compromise of your WhatsApp Business credentials.
- You may not create an account on behalf of someone else without their authorisation, or register with a phone number or WhatsApp Business account you do not lawfully control.
4. Subscription Plans, Billing and Taxes
The Service is offered on subscription plans that differ in included message volume, number of connected WhatsApp numbers, team seats, automation limits, and support level. The plan you select at checkout, together with any usage-based charges, determines what you pay.
- Payments. All payments are processed by Razorpay, our third-party payment gateway. We do not store your full card or bank details on our servers; your payment instrument is held and tokenised by Razorpay under their own terms.
- Recurring billing. Subscriptions renew automatically at the end of each billing cycle (monthly or annual, as selected) at the then-current rate, using the payment method or mandate on file, until you cancel. By subscribing, you authorise us and Razorpay to charge that instrument on a recurring basis.
- Currency and taxes. Prices are quoted in Indian Rupees (INR) unless a different currency is expressly shown at checkout. Prices are exclusive of GST and any other applicable taxes, levies, or duties, which will be added where required by law. Where withholding tax applies, amounts payable to us must be grossed up so that we receive the full invoiced sum.
- WhatsApp conversation charges. Meta charges separately for WhatsApp conversations and message categories under its own pricing. Depending on your plan and setup, these charges may be billed to you directly by Meta or passed through by us. Meta's pricing is set by Meta and may change without notice from us.
- Failed payments. If a charge fails, we may retry it, pause sending, or downgrade your account after reasonable notice. You remain liable for amounts accrued before any suspension.
- Price changes. We may revise subscription pricing with at least 30 days' notice by email or in-dashboard notice. Changes take effect at your next renewal; continuing to use the Service after that date constitutes acceptance.
5. Refunds and Cancellation
You may cancel your subscription at any time from your account billing settings or by writing to aryaditya760@gmail.com. Cancellation stops future renewals; it does not retroactively cancel the current billing period.
- On cancellation, your plan remains active until the end of the paid period, after which the account moves to a restricted or closed state and campaign sending stops.
- Subscription fees are generally non-refundable, and we do not provide partial refunds or credits for unused message volume, partial billing periods, or periods in which you chose not to use the Service.
- Message credits, conversation charges, and other consumption-based amounts already incurred are non-refundable, as the underlying cost is passed to Meta at the time of sending.
- We may, at our discretion, issue a pro-rata refund or account credit where the Service was materially unavailable due to our fault for a sustained period, or where a duplicate or manifestly erroneous charge occurred. Please report billing errors within 30 days of the invoice date.
- No refund is due where an account is suspended or terminated for breach of these Terms, including breaches of the acceptable use or WhatsApp policy sections below.
- Approved refunds are returned through Razorpay to the original payment method and typically settle within 5 to 10 business days, depending on your bank.
6. Acceptable Use
WhatsApp is a private, high-trust channel, and misuse harms recipients, your own business, and every other business on our platform. You agree not to use the Service — and not to permit anyone using your account to use it — for any of the following:
- Sending spam, unsolicited bulk messaging, or any campaign to recipients who have not given you prior opt-in consent to be contacted on WhatsApp.
- Uploading, importing, or messaging contact lists that were purchased, rented, scraped, harvested from public sources or WhatsApp groups, or otherwise obtained without the recipients' knowledge and consent.
- Continuing to message anyone who has asked you to stop, blocked your number, unsubscribed, or otherwise withdrawn consent.
- Harassment, threats, hate speech, defamation, targeted abuse, or content that endangers, degrades, or intimidates any person or group.
- Fraud, phishing, impersonation of another business or person, deceptive offers, pyramid or Ponzi schemes, fake giveaways, or any attempt to obtain credentials, OTPs, or payment details under false pretences.
- Content that is illegal under applicable law, including child sexual abuse material, content promoting terrorism or violence, or the sale of prohibited or regulated goods and services for which you lack the required licences.
- Distributing malware, viruses, ransomware, or malicious links, or using the Service to probe, scan, overload, or interfere with our infrastructure or that of any third party.
- Scraping, crawling, or programmatically extracting data from the Service other than through APIs we expressly provide, or circumventing rate limits, quotas, or access controls.
- Reselling, sublicensing, white-labelling, or otherwise providing access to the Service to third parties without a written reseller or partner agreement with us.
- Reverse engineering, decompiling, or attempting to derive the source code of the Service, or using it to build a competing product.
We may investigate suspected violations, review message metadata and delivery quality signals for that purpose, and take action including throttling, suspension, or termination. Report abuse to aryaditya760@gmail.com.
7. WhatsApp and Meta Policies
Chatbox AI is built on the WhatsApp Business Cloud API operated by Meta. Your use of the Service is therefore also governed by Meta's rules, and you must independently read and comply with them — including the WhatsApp Business Messaging Policy, the WhatsApp Business Terms of Service, the Meta Commerce Policy, and Meta's template and message-category guidelines, each as updated by Meta from time to time.
Compliance with those policies is your responsibility, not ours. In particular, you acknowledge and accept the following:
- Meta independently reviews, approves, rejects, pauses, and disables message templates. We surface template status in the dashboard, but we do not control the outcome and cannot force an approval.
- Meta assigns each connected number a quality rating and messaging limit based on recipient blocks, reports, and engagement. Poor-quality sending can reduce your messaging limit or trigger restrictions.
- Meta may restrict, suspend, or permanently ban your WhatsApp Business account, phone number, or business portfolio for policy violations. That is a Meta decision, made entirely outside Chatbox AI's control, and we cannot reverse it, appeal it on your behalf as of right, or guarantee reinstatement.
- A ban, restriction, or template rejection imposed by Meta is not a failure of the Service, does not entitle you to a refund, and does not suspend your obligation to pay subscription fees.
- Meta may change the WhatsApp Business Cloud API, its pricing, its conversation categories, or its policies at any time. We will make reasonable efforts to adapt the Service, but we are not liable for features that become unavailable as a result.
8. Customer Responsibilities for Opt-In and Consent
You are solely responsible for obtaining and maintaining valid consent from every End User you message through the Service. Chatbox AI provides the sending infrastructure; it does not collect consent for you and does not verify the provenance of the contact lists you upload.
- Consent must be affirmative, informed, and specific to WhatsApp — a person who gave you their number for a delivery update has not consented to promotional broadcasts.
- At the point of opt-in, you must clearly identify your business by name and state what kinds of messages the person will receive on WhatsApp.
- You must keep auditable records of when, where, and how each contact opted in, and produce them to us or to Meta on reasonable request in the event of a complaint or investigation.
- You must honour opt-out requests promptly, including free-text replies such as "STOP" or "unsubscribe" and any equivalent request made in a local language, and suppress those contacts from future campaigns.
- You must comply with all applicable data protection, consumer protection, and unsolicited-communication laws in every jurisdiction where your End Users are located, including India's Digital Personal Data Protection Act, 2023 and, where relevant, the GDPR.
- You must have a lawful basis to share End User personal data with us and with Meta, and you must maintain your own privacy notice describing that processing.
9. Intellectual Property
The Service, including its software, dashboard, source code, design, workflows, documentation, and the Chatbox AI name and logo, is owned by Chatbox AI and protected by copyright, trademark, and other intellectual property laws. Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes during your subscription term.
You retain all rights in your Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, and display your Content strictly as necessary to operate, secure, support, and improve the Service and to deliver your messages through the WhatsApp Platform. That licence ends when the Content is deleted, except for backups retained for a limited period and records we are required to keep by law.
We may generate aggregated, de-identified statistics about platform usage — for example, delivery rates by message category — provided such data does not identify you, your business, or any End User. Any feedback or suggestions you send us may be used without restriction or obligation to you. Nothing in these Terms transfers any rights in WhatsApp, Meta, or other third-party marks, which remain the property of their respective owners.
10. Customer Data and Privacy
We process personal data in accordance with our Privacy Policy, which explains what we collect, why, how long we keep it, and the rights available to individuals. Please read it alongside these Terms.
In respect of your End Users' personal data, you act as the data controller (or data fiduciary) and Chatbox AI acts as a processor operating on your documented instructions. You determine which contacts to message and what to send; we provide the means to send it. You warrant that your instructions comply with applicable law.
- Data is hosted on infrastructure operated by DigitalOcean, primarily in the Bangalore, India region.
- WhatsApp Business access tokens and other sensitive credentials are encrypted at rest, and access is restricted to personnel who need it to operate the Service.
- We engage sub-processors including Meta Platforms (message delivery), Razorpay (payments), DigitalOcean (hosting), and Anthropic (AI-assisted features). Message content may be processed by these providers to the extent necessary to deliver the relevant function.
- We apply reasonable technical and organisational security measures, but no system is perfectly secure, and you remain responsible for the security practices within your own organisation.
- On termination, we will delete or return your Content within a reasonable period, subject to legal retention obligations and routine backup cycles.
11. Service Availability and Support
We work hard to keep Chatbox AI running reliably, but the Service is provided on an availability basis and we do not offer a contractual uptime guarantee or service level agreement on free, trial, or lower-tier paid plans. Formal uptime commitments and response-time targets apply only where expressly stated in a written enterprise agreement or order form signed by us.
- We may perform scheduled maintenance, and will try to give advance notice for work expected to cause meaningful disruption.
- Availability depends on third parties we do not control — most importantly the WhatsApp Business Cloud API, our hosting provider, and payment infrastructure. Outages, rate limits, or degradations originating there are outside our responsibility.
- Support is provided by email at aryaditya760@gmail.com and, on plans that include it, through in-dashboard channels during Indian business hours. Response times vary by plan and volume.
- We may add, modify, deprecate, or remove features. Where a change materially reduces core functionality of a paid plan, we will give reasonable prior notice.
- Beta, preview, or experimental features are provided as-is, may change or disappear without notice, and should not be relied on for business-critical workflows.
12. Suspension and Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access, in whole or in part, with or without prior notice depending on severity, if:
- you breach these Terms, particularly the acceptable use or consent sections;
- your sending generates a pattern of blocks, spam reports, or quality warnings that puts our platform, our Meta relationship, or other customers at risk;
- payment is overdue and remains unpaid after reasonable notice;
- we are directed to do so by Meta, a regulator, a court, or applicable law, or your WhatsApp Business account is banned or restricted by Meta;
- we reasonably suspect fraud, credential compromise, or activity that threatens the security or integrity of the Service.
Where circumstances allow, we will contact you first and give you an opportunity to remedy the issue. On termination, your licence to use the Service ends immediately, pending and scheduled campaigns are cancelled, and you should export any data you wish to keep. Sections concerning intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination.
13. Disclaimers of Warranty
To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, or non-infringement.
Without limiting the above, we do not warrant that the Service will be uninterrupted, secure, or error-free; that every message will be delivered, delivered on time, or read; that message templates will be approved by Meta; that your WhatsApp Business account will remain in good standing; that AI-generated suggestions, summaries, or automated replies will be accurate, complete, or suitable for your purpose; or that analytics figures will reconcile exactly with figures reported by Meta or other systems.
You are responsible for reviewing AI-assisted output before it is sent to an End User, and for the commercial and legal consequences of the messages you choose to send.
14. Limitation of Liability
To the maximum extent permitted by applicable law, Chatbox AI and its directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, business opportunity, anticipated savings, or data, arising out of or relating to the Service, even if we have been advised of the possibility of such damages.
In particular, we are not liable for losses arising from the suspension, restriction, or permanent ban of your WhatsApp Business account or phone number by Meta; from template rejections or messaging-limit reductions; from downtime or changes to the WhatsApp Business Cloud API; or from messages you sent that turned out to be non-compliant.
Our total aggregate liability for all claims relating to the Service in any twelve month period will not exceed the total subscription fees actually paid by you to Chatbox AI in the twelve months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot lawfully be excluded, such as liability for fraud or wilful misconduct.
15. Indemnification
You agree to indemnify, defend, and hold harmless Chatbox AI and its directors, officers, employees, and agents from and against any claims, demands, proceedings, losses, damages, penalties, fines, and reasonable legal costs arising out of or related to:
- your Content, including the contact data you upload and the messages you send;
- your failure to obtain or maintain valid opt-in consent from End Users, or to honour opt-out requests;
- your breach of these Terms, of the WhatsApp Business Messaging Policy, of the Meta Commerce Policy, or of any applicable law or regulation;
- complaints, regulatory actions, or claims brought by your End Users or by any third party in connection with your use of the Service;
- your infringement of any intellectual property, privacy, or other right of a third party.
We will notify you of any claim for which we seek indemnity and may participate in the defence with counsel of our own choosing at our own expense. You may not settle any claim in a way that imposes obligations on us without our prior written consent.
16. Governing Law and Dispute Resolution
These Terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes), are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
The parties agree to first attempt to resolve any dispute informally by writing to aryaditya760@gmail.com with a clear description of the issue and the outcome sought, and to engage in good faith discussions for at least 30 days from that notice.
If the dispute is not resolved within that period, the courts at Delhi, India will have exclusive jurisdiction, and both parties submit to the personal jurisdiction of those courts. Nothing in this section prevents either party from seeking urgent injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
17. Changes to These Terms
We may update these Terms from time to time to reflect changes in the Service, in the WhatsApp Platform, or in legal and regulatory requirements. When we do, we will revise the "Last updated" date at the top of this page.
For material changes — for example, changes to fees, liability, or your obligations — we will give at least 30 days' notice by email to your registered address or through an in-dashboard notice before the change takes effect. Continuing to use the Service after the effective date constitutes acceptance of the updated Terms. If you do not accept them, you must stop using the Service and cancel your subscription before that date.
